3 押金 Deposit:
3.1乙方須支付相當(dāng)于兩個月房租的押金(即RMB ), 以人民幣支票或轉(zhuǎn)帳形式支付)。甲方應(yīng)在收到押金后向乙方開具統(tǒng)一收據(jù)。
A deposit of two (2) months’ equivalent rental (RMB ) shall be paid by PARTY B in RMB by check or by bank transfer. PARTY A shall issue to PARTY B official receipt upon receiving the deposit.
3.2押金在合同終止后10天內(nèi)由甲方以相同幣種全額退還給乙方(不計利息)。如果延期返還,則每延期一日,按每日萬分之四支付給乙方利息。
The deposit shall be refundable in full amount in 10 days after the contract expiration, in same currency and excluding interest thereupon. In case PARTY A delays the refund of the deposit, PARTY A shall pay interest to PARTY B at the rate of 0.04% per day of delay.
3.3甲方應(yīng)按時付清各種帳單。若以上出租房屋及其家具、設(shè)備等因乙方原因出現(xiàn)遺失或非正常的損壞,乙方應(yīng)負(fù)責(zé)賠償。
PARTY A shall pay off on time all the bills due. In case there is any loss or unusual damage to the furnishings, contents or the rental premises due to PARTY B’ s reason, PARTY B shall compensate for it.
4 租期 Lease term:

5 出租人的責(zé)任 PARTY A’s obligation:
5.1 3甲方聲明及保證甲方為該出租房屋的合法擁有人,有合法地位出租此房屋,并就出租事宜已取得有關(guān)方面的批準(zhǔn)。
PARTY A assures to be the legal owner of the leased premises, to have the necessary legal capacity to lease it, and PARTY A’ action has been ratified by the authorities concerned.
5.2租賃期內(nèi),若甲方出售該出租房屋導(dǎo)致該出租房屋所有權(quán)發(fā)生轉(zhuǎn)移,甲方須保證本合同能繼續(xù)執(zhí)行。
In case PARTY A sells the premises during the lease which leads to the premises ownership be transferred, PARTY A shall ensure that the said contract will be implemented continuously.
5.3甲方須按時將清潔狀況良好的出租房屋交付乙方使用,保證在租賃期內(nèi)出租房屋內(nèi)的各項設(shè)施能正常使用。 PARTY A shall hand over the said premises to PARTY B on time and assure the said premises will be cleaned and in good status during the lease term.
5.4甲方有義務(wù)負(fù)責(zé)出租房屋及設(shè)施的正常維護(hù)和保養(yǎng),如房屋或設(shè)施非因甲方原因出現(xiàn)故障,甲方應(yīng)在收到乙方通知后二十四(24)小時內(nèi)自行或通過其他方式解決故障,否則,乙方有權(quán)雇傭第三方進(jìn)行維修,由甲方承擔(dān)所有費用并承擔(dān)相關(guān)責(zé)任。由于不可抗力(如地震、臺風(fēng)、洪水、非人為的火災(zāi)等)、自然損耗或乙方以外的原因造成的損壞,亦由甲方承擔(dān)有關(guān)費用。
PARTY A shall bear the responsibility of the said premises’ normal repairs and maintenance, and pay the cost related. In case the premises or facilities are in bad conditions not due to the reason of PARTY B, PARTY A shall complete the repair work within 24 hours upon receipt of the notice from PARTY B. Otherwise, PARTY B shall have the right to hire any third parties for the repair work at the cost of PARTY A. The cost of repairs to the said premises, if damaged by Force Majeure (such as earthquake, typhoon, flood non-man made fire, etc) reasonable wear and tear or by accidents beyond PARTY B’S control, should also be borne by PARTY A.
5.5租賃期內(nèi),在乙方遵守合同及支付租金的前提下,未經(jīng)乙方允許,甲方不得進(jìn)入該出租房屋。
During the lease, PARTY A shall not get in the said premises without PARTY B’S permission if PARTY B has been carrying out the contract normally.
5.6甲方應(yīng)督促管理公司向乙方提供足夠的服務(wù),如冷水、熱水、煤氣,電的供應(yīng)及各種設(shè)備的正常工作。 Party A shall direct Property Management Company to provide sufficient and continuous services to Party B, including provision of cold water, hot water, gas and electricity and ensure proper maintenance of equipment therein.
5.7 房產(chǎn)稅及與租賃有關(guān)的所有稅費由甲方承擔(dān)。
Premises tax and other leasing related taxes shall be paid by PARTY A.
6 承租方的責(zé)任 PARTY B’S obligations:
6.1 乙方申明及保證其在中國擁有合法居留權(quán),并按有關(guān)規(guī)定辦理必要的居住登記手續(xù)。
PARTY B assures to have the legal right of residence in China, and shall complete the residential formalities complying with the local regulations.
6.2 住客應(yīng)按時支付電話費含上網(wǎng)費、水電煤氣費。
The occupant shall pay the telephone bills and internet fee, extra water electricity gas fee on time.
6.3 乙方只能將出租房屋用做住宅,不得將之用作公司及代表處的注冊地址,亦不可作為公開的辦公室。 The premises are limited for residential use only by PARTY B, and are prohibited from registering as legal address for any company or agency, or using as public office.
6.4 乙方不得在出租房屋內(nèi)進(jìn)行違反法律及政府對出租房屋用途有關(guān)規(guī)定的行為。
PARTY B shall not carry in the premises any unlawful or illegal activities which are not allowed according to the leasing regulations from the government.
6.5 租賃期內(nèi),未經(jīng)甲方書面同意,乙方不得將出租房屋部分或全部轉(zhuǎn)租他人。
PARTY B shall not partly or totally sublet the said premises without the written permission from PARTY A.
6.6 若因乙方使用不當(dāng)或不合理使用,出租房屋及其內(nèi)的設(shè)施出現(xiàn)損壞或發(fā)生故障,乙方應(yīng)及時聯(lián)絡(luò)管理機構(gòu)或甲方進(jìn)行維修,并負(fù)責(zé)有關(guān)維修費用.
The damage of the premises or the fittings that are within the control of PARTY B shall be borne by PARTY B, and PARTY B shall contact the management office or PARTY A instantly.
6.7 租賃期內(nèi),乙方對出租房屋進(jìn)行裝修或增加水、電、消防等設(shè)施,須經(jīng)甲方同意并經(jīng)有關(guān)部門批準(zhǔn),并由甲方執(zhí)行監(jiān)理,所需費用由乙方承擔(dān)。雙方解約時,乙方不能移走自行添加的結(jié)構(gòu)性設(shè)施,甲方亦不必對上述添加設(shè)施進(jìn)行補償。
PARTY B, upon written permission of PARTY A, may make additions or alterations dealing with water,
electricity supply or fire protection, at his own expense, subject to necessary permits or licenses required by the authorities concerned and under the supervision of PARTY A .No structural alterations or additions can be removed from the premises upon the expiration of this contract. No reimbursement for the said additions.
6.8 乙方有權(quán)在墻壁上懸掛畫、圖片或其他裝飾性物品。合同履行期限屆滿或提前解約時,甲方應(yīng)承擔(dān)費用拔掉釘子、粉刷墻壁或使墻壁恢復(fù)原狀,并承諾不以此為由扣留乙方的押金。
PARTY B is entitled to hang pictures, paintings or other decorative articles on the walls. Upon expiration or early termination of the contract, PARTY A shall bear the cost to remove the nails, repaint the wall or restore the wall to the original state, and PARTY A shall not retain PARTY B’S deposit for the reason of doing things above.
6.9租賃合同期滿的.前一個月內(nèi),經(jīng)合理事先書面通知,乙方應(yīng)允許甲方或其授權(quán)人 引領(lǐng)潛在客人參觀在出租房屋。
During the last month of the contract, after reasonable prior written notice to PARTY B, PARTY A or his nominee shall be allowed to show the said premises to the potential clients.
6.10 租賃期滿,若甲,乙雙方未達(dá)成續(xù)租協(xié)議,乙方應(yīng)于租期屆滿時或之前遷離出租房屋并將鑰匙及清理干凈的房屋歸還甲方.
PARTY B shall return the premises in a clean condition to PARTY A (except wear and tear) at the expiration of the contract if there is no renewal thereupon.
7 提前解約Early termination:
7.1六(6)個月后,乙方如要退租,應(yīng)提前一(1)個月書面通知甲方終止本租約。在此情況下,甲方應(yīng)在本租約終止后十(10)日內(nèi)將押金全額退還乙方。
After six (6) months, Party B may, upon one (1) month advance written notice to Party A, terminate this
Tenancy Agreement without any liabilities. Under this circumstance, Party A shall return the deposit in full to Party B within ten (10) days after the termination.
7.2 若因自然界的不可抗力,如火災(zāi)、洪水、臺風(fēng)、地震、戰(zhàn)爭等意外損害導(dǎo)致出租房屋無法居住,合同即自動終止,甲、乙雙方互不承擔(dān)責(zé)任。
If the said premises are so damaged by force majeure (fire, flood, typhoon, earthquake, war, and etc) that it’s no longer habitable, the contract shall be terminated automatically. Neither PARTY A nor PARTY B shall bear any responsibility to each other.
8 續(xù)租 Renewal:
租賃期滿,乙方有優(yōu)先續(xù)租權(quán),但須提前一個月通知甲方,并安排簽訂續(xù)租合同。
PARTY B retains the priority to renew this lease upon expiration , while one-month prior notice to PARTY A is necessary, and PARTY A shall arrange the signature for the renewal contract.
9 爭議的解決 Dispute Resolution:
9.1 本合同適用法律為中華人民共和國相關(guān)法律。
The contract is governed by the laws of the People’s Republic of China.
9.2在履行本合同過程中產(chǎn)生的任何爭議由雙方協(xié)商解決,協(xié)商不成,可向中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(北京)申請仲裁。
In case of any dispute arising out of the performance of this Contract, PARTY A and PARTY B shall consult
together to reach unanimity, otherwise both parties can submit the dispute to the China International Economic and Trade Arbitration Commission (Beijing) for arbitration.
10 其他Others:
10.1本合同以中英文兩種文字?jǐn)M成,兩種文本同等有效。
The contract is drawn in both Chinese and English versions. Both texts have equal effect.
10.2 本合同一式二份,甲、乙雙方各執(zhí)一份。
Two copies of the contract will be drawn and remained in the possession of PARTY A & PARTY B. 10.3本合同自簽定之日起生效。
The contract shall come into force on the date of signature.
10.4本合同的附件是本合同必不可少的組成部分。附件一列明的物品在甲、乙雙方核實簽字后生效。

汽油, 有爆炸危險性的物品及揮發(fā)性之化工原料等等, 另乙方不得在該物業(yè)內(nèi)做任何
違反中國法律行為。否則,一切后果,由乙方負(fù)責(zé)。
Party B shall not store arms, ammunition or unlawful goods, gun-powder, saltpeter, kerosene
or any explosive or combustible substance, etc. in any part of the said premises, the tenant or inmate shall not use the said premises for any illegal purposes, for violation against the law of People’s Republic of China in any part of the said property, Party B shall be answerable and responsible for any consequence of any breach of local ordinance.
5、 乙方須正確維護(hù)該物業(yè)內(nèi)甲方所提供之家具、電器、裝置及設(shè)備、該物業(yè)之原來一切設(shè)
備如有因非正當(dāng)使用造成的損壞,乙方須負(fù)責(zé)修理或賠償。
To keep the interior of the said premises and furniture, fixtures and fittings provided by Party A in condition of normal use throughout the tenancy, if any damages made by any abnormal use, Party B is responsible for the repair or reimbursement.
6、 乙方不得拒絕甲方派譴之人員,在適當(dāng)時間入屋檢視該單位近況或進(jìn)行任何修理工程。
Party B shall permit Party A and its agents with or without workmen or others and with or without appliances at all reasonable times to enter upon the said premises and to view the condition thereof and to take inventories of the fixtures therein and to carry out any repairs to the premises which Party A considers necessary or proper to be done.
7、 當(dāng)租約期滿或終止前X個月,甲方有權(quán)在不騷擾原則下, 張貼招租告示于該單位外,
乙方亦應(yīng)準(zhǔn)許甲方/代理人在合理時間內(nèi),帶同新租客進(jìn)入該物業(yè)視察。
During the X month immediately preceding the determination of the said term of tenancy, Party A shall be at liberty to affix and retain without interference or molestation on the door or the external parts of the said premises a notice for letting the said premises and the Party
B shall permit and allow all persons with written or oral authority from party A or its agent or agents at all reasonable hours of the day to view the said premises or any part or part thereof.
8、 租約期滿,乙方如需延長租約,須在租約期滿 X 個月前以書面方式通知甲方,經(jīng)甲
方同意,乙方可以新訂租金和租約繼續(xù)入住該物業(yè)。

9、 乙方須自行投買風(fēng)災(zāi), 水災(zāi), 火災(zāi), 盜竊, 意外保障等等, 乙方如在該單位內(nèi)有任何損失,
甲方不負(fù)任何責(zé)任。
Party B shall himself cover insurance for his own belongings against Typhoon, Depression, Storm, Flood, Fire, Theft, Accidents, etc. in relation to this Tenancy. Party A shall not be responsible for any damage or loss under all circumstances.
10、 乙方不得于單位內(nèi)制造或容許制造噪音, 異味或任何滋擾鄰居或業(yè)主安寧之舉動, 其中
包括拖欠租金。經(jīng)警告后仍未有所改善, 甲方有權(quán)終止租約。
Party B shall not permit any noise or allow any music to be produced in the premises so as to give cause for reasonable complaint from the occupants of neighboring premises, otherwise, Party A has the right to terminate the tenancy immediately if case continued after advised. 11、
12、 甲方須承擔(dān)該物業(yè)的房產(chǎn)稅、土地使用稅。 Party A shall pay all property tax, land tax and any other tax or charge of the said premises. 租約期內(nèi),甲方有權(quán)將該物業(yè)出售給第三者,本合約對購得該物業(yè)之新業(yè)主仍然有效,

14、 本租約適用中華人民共和國法律、自甲、乙雙方簽章后,雙方均應(yīng)遵守本租約規(guī)定的各
項條款,如發(fā)生爭議,雙方不能完滿解決,將依照中華人民共和國有關(guān)法律仲裁解決。 The agreement is construed in accordance with laws of People’s Republic of China (PRC). Force Majeure :
The sellers shall not be held responsible for the delay in shipment or non-deli-very of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit. 4. 不可抗力 Force Majeure
Force Majeure條款是一種免責(zé)條款,即免除由于不可抗力事件而違約的一方的違約責(zé)任。一般應(yīng)規(guī)定的內(nèi)容包括:不可抗力事件的定義(Definition of Force Majeure)以及不可抗力事件的后果(Consequences of Force Majeure) 。在Force Majeure條款中,兩者屬于因果關(guān)系,難以截然分開。
I. 對于Force Majeure的定義,《合同法》定義如下:
本法所稱不可抗力,是指不能預(yù)見、不能避免并不能克服的客觀情況。
For purposes of this Law, force majeure means any objective circumstance, which is unforeseeable, unavoidable and insurmountable.
II. 以下是Force Majeure條款的舉例:
1. Neither party shall be responsible for delays or failures in performance resulting from acts or facts reasonably beyond the control of that party.
任何一方不應(yīng)對因其無法控制之行為或事實造成協(xié)議延遲履行或不履行承擔(dān)任何責(zé)任。
2. Either Party shall not be liable for any delay caused by any unpredictable factor or any factor which is unavoidable or insurmountable by reasonable means at the time of conclusion of this Agreement, or any loss caused by failure in fulfillment of obligations as stipulated herein.
協(xié)議任一方無須對因任何在本協(xié)議簽訂時無法預(yù)見或以合理手段也無法避免或克服之原因造成的遲延或不履行本協(xié)議之義務(wù)所造成的損失承擔(dān)責(zé)任。
注:以上采用的是類似《合同法》概括的定義方法。而合同為不可抗力定義時更多地采用列舉的方法。
3. Neither party of this Agreement, directly or indirectly owing to any causes or circumstances beyond its control, including Acts of God, Governmental orders or restriction, war, warlike conditions, revolutions, strike, lockout, fire and flood.
本合同任何一方當(dāng)事人對直接或間接地由于其無法控制的原因或情況包括自然災(zāi)害、政府命令或限制、戰(zhàn)爭、戰(zhàn)爭狀態(tài)、革命、罷工、工廠被關(guān)閉、火災(zāi)、水災(zāi)等而未能履行或延遲履行合同或合同一部分的行為,不負(fù)任何責(zé)任。

4. Neither party will be liable for nondelivery, misdelivery or late delivery (other than the payment of money due hereunder) caused by circumstances beyond its reasonable control, including, among others, war, civil strife or commotion, riots, strikes, fires, floods, acts of God, inability to obtain materials, failure of carriers or compliance with any law, regulation or governmental order.
任何當(dāng)事人將不會為任何因為不可控制的情況產(chǎn)生的未交付貨物、交付錯誤或延遲交貨(除了支付應(yīng)付款)。不可控制的情況包括戰(zhàn)爭、國內(nèi)斗爭或*亂、騷亂、罷工、火災(zāi)、洪災(zāi)、自然災(zāi)害、無力獲得材料、承運人的失誤、遵守法律、法規(guī)或政府令。
5. Should either of the parties to the contract by prevented from executing the contract by force majeure, such as earthquake, typhoon, flood, fire and war and other unforeseen events, and their happening and consequences are unpreventable and unavoidable, the prevented party shall notify the other party by cable without any delay, and within 15 days thereafter provide the detailed information of the events and a valid document for evidence issued by the relevant public notary organization
for explaining the reason of its inability to execute or delay the execution of all or part of the contract. Both parties shall, through consolations, decide whether to terminate the contract or to exempt the part of obligations for implementation of the contract or whether to delay the execution of the contract according to the effects of the events on the performance of the contract.
由 于地震、臺風(fēng)、水災(zāi)、火災(zāi)、戰(zhàn)爭以及其它不能預(yù)見并且對其發(fā)生和后果不能防止或避免的不可抗力事件出現(xiàn),致使直接影響合同的履行或者不能按約定的條件履行 時,遇有上述不可抗力的一方,應(yīng)立即電報通知對方,并應(yīng)在十五天內(nèi),提供不可抗力詳情及合同不能履行、或者部分不履行、或者需要延期履行的理由的有效證明 文件。此項證明文件應(yīng)由事故發(fā)生地有權(quán)證明的機構(gòu)出具。按其對履行合同影響的程度,由雙方協(xié)商決定是否解除合同,或者部分履行合同,或者延期履行合同。
6. Force majeure shall hereof consist of the following events:
下述事件構(gòu)成不可抗力:
Where such cases as war, earthquake, serious windstorms, snow, or fire or other events which no party can foresee and prevent from happening occur;
發(fā)生戰(zhàn)爭、地震、嚴(yán)重的風(fēng)災(zāi)、雪災(zāi)、火災(zāi)或其他各方無法預(yù)見、無法抗拒的事故。
The related laws and regulations in collection with the execution of duties by any party to this Agreement undergo changes, under which this Agreement will be illegal or the transfer cannot be fulfilled.
自本協(xié)議簽訂之日起與本協(xié)議任何一方履行本協(xié)議相關(guān)的法律、法規(guī)發(fā)生變更致使本協(xié)議非法或轉(zhuǎn)讓行為無法完成。
In event of the occurrence of the above-mentioned events, if any party (hereinafter referred to as the “Effected Party ”) has been delayed or deterred from performing the duties of this Agreement in the course of its execution, the Affected Party shall be free from any liabilities for breach of the agreement and for compensation.

In event of the force majeure, the affected party shall, within _____days from the date of the occurrence, notify the other party of the impact of such events on the execution of the duties in this Agreement, by telex, telegraph or in any other lawful written form, and simultaneously submit the relevant official credentials concerning the force majeure herein.

7. Force Majeure不可抗力
(1) No party to this Contract shall be liable to the other party for any failure of or delay in performance of its obligations hereof nor be deemed to be in breach of this Contract, if such failure or delay has arisen from "force majeure."
如果任何一方因不可抗力而款能履行或推遲履行其義務(wù),則不對另一方負(fù)責(zé),也不應(yīng)視作違反合同。
"Force Majeure" means circumstances and conditions beyond the control of either parties, that would render it impossible for either the Owner or the Contractor to fulfill their obligations under this Contract, or delay such fulfillment. Any of the following matters are considered "force majeure."
“不可抗力”指業(yè)主或承包商無法控制的.情況,使當(dāng)事人未能按本合同履行其義務(wù),或者不得不延遲履行其義務(wù)。下列情況均被視作“不可抗力”:
a. war, hostilities, act of foreign enemy, invasion, warlike opera-tions (whether war to be declared or not) or civil war;
b. mutiny, civil commotion assuming the proportions of or amounting to a popular rising, military rising, insurrection, rebellion, revolution, military or usurped power, or any act of any person acting on behalf of or in connection with any organization with activities directed towards the overthrow by force of the Government de jure or de facto, or to the influencing of it by terrorism or violence;
c. earthquake, flood, fire or other natural physical disaster;
d. denial of the use of all ports, airports, shipping services or other means of public transport;
e. strike or lock out or other industrial concerted action by workers, affecting the fulfillment of Contractor's and subcontractors' obligations;
f. and other unforeseen circumstances beyond the control of the parties so affected rendering the fulfillment of their obligations impossible.

(3) If either party to this Contract is prevented or delayed from or in performing any of his obligations under this Contract by force majeure, then he may notify the other party of the circumstances constituting the force majeure and of the obligation performance of which is thereby delayed or prevented and the party giving the notice shall thereupon be excused from the performance or punctual performance, as the case may be, of such obligation for so long as the circumstances of prevention or delay may continue.

根據(jù)本第款第3分條規(guī)定,如果任何一方免于履行或推遲履行其義務(wù)的時間持續(xù)了____個月,那么任何一方都可隨時向另一方發(fā)出書面通知,終止本合同。
5. 修改 Modification
合同修訂 (Modification)條款為合同常用條款.主要規(guī)定了合同修訂的方式與途徑。例如:書面合同,只能以書面方式進(jìn)行修訂,口頭修訂內(nèi)容無效。
I. Modification條款通常較為簡單,以下為一些常用比較簡約的表達(dá)方式:
1. The contract can be amended only after the amendment is agreed upon by both parties.
只有經(jīng)雙方一致同意,合同方可變更。
2. This Agreement may be amended only by a written instrument signed by duly authorized representatives of both parties.
本合同只有經(jīng)雙方當(dāng)事人授權(quán)的代表正式簽署的書面文件,方可修改。
3. This Agreement may not be amended or modified except by written instrument signed
by each of the Parties hereto.
除非經(jīng)本協(xié)議當(dāng)事人簽署的書面通知,否則本協(xié)議書不得作出任何修改和變更。
4. Any alterations or amendments of this Agreement shall be subject to agreement through consultation between both parties in writing.
本協(xié)議的任何變更或修改,應(yīng)由本協(xié)議雙方協(xié)商一致,并以書面方式進(jìn)行。
5. This Agreement shall not be modified or amended except by a written instrument, signed by the parties hereto.
除非雙方當(dāng)事人共同簽署書面文件,否則本“協(xié)議”不得修改或修訂。
6. Any modification, amendment or waiver of any of the provisions of this Agreement must otherwise be made in writing and duly signed by the parties hereto.
對本“協(xié)議”任何規(guī)定的任何變更、修改或免責(zé)必須另以書面形式作出,并經(jīng)各方正式簽字。
7. During the period of validity of the agreement, either party shall be entitled to make proposal of amendment to the agreement and the agreement amended shall go into effect with the signature of the two parties.
在協(xié)議的有效期內(nèi),任何一方都有權(quán)提出對協(xié)議進(jìn)行修改,修改后的協(xié)議經(jīng)過雙方簽署后才能夠生效。
II. 在實際運用中,由于內(nèi)容環(huán)境不同,表達(dá)可能有所不同,以下為一些實例:
1. If the loan contract affiliated to this Contract has to be abridged, amended, or revised, both parties shall negotiate to amend and revise this Contract in line with the provisions of the loan contract.
本股權(quán)質(zhì)押項下的貸款合同如有修改、補充而影響本質(zhì)押合同時,雙方應(yīng)協(xié)商修改、補充本質(zhì)押合同,使其與股權(quán)質(zhì)押項下貸款合同規(guī)定相一致。
2. If this Contract shall be abridged, revised, or amended on account of force majeure, the responsibilities assumed by the Party A under this Contract shall not be exempted or reduced, and the rights and interests of the Party B under this Contract shall not been affected or infringed.
如因不可抗力原因致本合同須作一定刪節(jié)、修改、補充時,應(yīng)不免除或減少甲方在本合同中所承擔(dān)的責(zé)任,不影響或侵犯乙方在本合同項下的權(quán)益。
3. The amendment of the contract or other appendices shall come into force only after the written agreement signed by Party A and Party B and approved by the original examination and approval authority.
對本合同及其附件的修改必須經(jīng)甲、乙雙方簽署書面協(xié)議,并報原審批機構(gòu)批準(zhǔn),方可生效。
4. This Agreement may be amended in writing signed by both Parties. Unless otherwise expressly agreed to in such amendment, all terms and conditions of this Agreement shall apply to any such addition and all rights granted to Licensee under this Agreement shall terminate as to any such deletion.
本協(xié)議可由「雙方」書面簽署予以修改。除在此種修改中另行明確同意外,本協(xié)議所有的條款和條件須適用于任何此類修改中所做的添加,而所有根據(jù)本協(xié)議而給予「被許可人」的權(quán)利對于任何此類修改中的刪除事項而言將終止。
6. 補償 Indemnification
損害賠償(indemnification)條款,是減少合同風(fēng)險的一個重要條款。該條款主要約定在第三者對合同提出權(quán)利主張時,另一締約方應(yīng)當(dāng)對此承擔(dān)責(zé)任。通常情況下,另一締約方必須支付全部的防御性訴訟費用,以及全部的支付給第三者的和解費用或者第三者勝訴后造成的所有損失。
實際上,本條款是將第三人造成的風(fēng)險從合同的一方當(dāng)事人轉(zhuǎn)移給另一方當(dāng)事人。
其次,本條款也可以約定合同的另一締約方有其他不當(dāng)?shù)淖鳛闀r,應(yīng)當(dāng)進(jìn)行損害賠償。

In no event will either party be liable to the other in connection with this agreement for special, incidental, indirect or consequential or punitive damages regardless of whether either or both parties knew of the possibility of such damages.

Contractor agrees to protect, defend, indemnify and hold harmless company, its parent, subsidiaries and affiliated companies, and its and their employees, subcontractors and its and their insurers from and against any claim, demand, cause of action, loss, expense award, obligation to indemnify another, judgment or liability on account of illness, injury or death to the employees of contractor and contractor’s subcontractors and/or damage to or loss or destruction of the property of contractor arising directly or indirectly out of the performance of this contract regardless of omissions or negligence, in whole or in any part, of company.

II. Indemnification 條款還有多種表達(dá)方式,但并不固定。
1. Notwithstanding any of indemnities and liabilities specifically referred to above, neither company or contractor shall be liable to the other with respect to any consequential loss including, but not limited to, loss of anticipated profit, loss of anticipated revenue, loss of anticipated production, loss of product, or loss of use of money, arising or alleged to arise out of either company’s or contractor’s failure to property carry out its obligations hereunder or due to omissions or negligence, in whole or any part, of the part at fault, its subcontractors or vendors or the un-seaworthiness of vessel, or strict liability, and regardless of whether pre-existing the execution of the agreement.

2. All remedies specified herein or otherwise available shall be cumulative and in addition to any and every other remedy provided hereunder or now or hereafter available at law or in equity. No waiver or failure to act with respect to any breach or default hereunder, whether or not the other party has notice thereof, shall be deemed to be a waiver with respect to any subsequent breach or default, whether of similar or different nature.

Indemnification 補償
(a) Each party shall indemnify and hold harmless the other party, its shareholders, directors, officers, employees, agents, designees and assignees, or any of them, from and against all losses, damages, liabilities, expenses, costs, claims, suits, demands, actions, causes of actions, proceedings, judgments, assessments, deficiencies and charges (collectively, "Damages") caused by, relating to or arising from the performance by such party in accordance with this Contract of its obligations hereunder, and Buyer shall also indemnify Seller, without limiting the foregoing, for any such item caused by, relating to or arising from (a) the programming services which are authorized for viewing sing the System, including any assertion that any such programming service involves copyright infringement, (b) any disputes between Buyer and any of its program distributors or other distributors or affiliates, (c) any disputes or claims involving the subscribers for Buyer's programming services, or (d) any assertion that Buyer has been involved in, that Buyer's conduct of subscription involves, or that Buyer's use of the System involves, any unfair competition or violations of laws, rules or regulations.

(b) In the event of a third-party claim, with respect to which a party’s entitled to indemnification hereunder, a party (the "Indemnified Party") shall notify the other party (the "Indemnifying Party") in writing s soon as practicable, but in no event later than ______ days after receipt of such claims. The Indemnified Party's failure to provide such noticed shall not preclude it from seeking indemnification hereunder unless such failure has materially prejudiced the Indemnifying Party's ability to defend such claim. The Indemnifying Party shall promptly defend such claim with counsel of its own choosing) and the Indemnified Party shall cooperate with the Indemnifying Party in the defense of such claim, including the settlement of the matter on the basis stipulated by the indemnifying Party (with the Indemnifying Party being responsible for all costs and expenses of such settlement).

If the Indemnifying Party within a reasonable time after notice of a claim fails to defend the Indemnified party, the Indemnified Party shall be entitled to undertake the defense, compromise or settlement of such claim at the expense of the Indemnifying arty. Upon the assumption of the defense of such claim, the Indemnifying arty may settle, compromise or defend as it sees fit. Notwithstanding anything to the contrary set forth in this Section, seller will defend any suit, claim, action or proceeding brought against buyers to the extent that such suit, claim, action or proceeding is based on a claim that goods manufactured and sold by Seller to Buyer infringe patent, copyright, mask work, trademark, trade secret or any other intellectual property rights of any third party and Seller shall pay all damages and costs awarded by final judgment (from which no appeal may be taken) against Buyer, as well as its actual expenses and costs, on condition that Seller

Seller shall not be obligated to defend or be liable for costs and damages if the infringement arises out if a combination with, an addition to, or modification of the goods after delivery by Seller, or from use of the goods, or any part thereof, in the practice of a process.

If any goods manufactured and supplied by Seller to Buyer are held to infringe any valid patent and Buyer is enjoined from using the same, or if seller believes such infringement is likely, Seller will exert all reasonable efforts at its option and expense (i) to procure for Buyer the right to use such goods free of any liability for such infringement, or (ii) replace or modify such goods with a noninfringing substitute otherwise complying substantially with all the requirements of this contract, or (iii) upon return of the goods, refund the purchase price and the transportation costs of such goods (less reasonable allowance for their use and benefit derived therefrom for the period of time from delivery to Buyer, such allowance being based on a straight-line depreciation period of _______ years from the date of shipment by Seller).

If the infringement is alleged prior to completion of delivery of the goods, Seller has the right to decline to make further shipments without being in breach of contract. If Seller has not been enjoined from selling such goods to Buyer, Seller may (at Seller's sole election), at Buyer's request, supply such goods to Buyer, in which event Buyer shall be deemed to extend to Seller the same patent indemnity hereinabove stated. The same patent indemnity shall be deemed to be extended to Seller by buyer if any suit or proceeding is brought against Seller based on a claim that the goods manufactured by Seller in compliance with Buyer's specifications infringe any valid patent. Buyer shall promptly notify Seller of any infringement by a third party of intellectual property rights licensed to Buyer under this contract. In the event that a third party infringes such intellectual property rights, the Parties shall cooperate with one another to take appropriate action to cause such infringement to cease. The foregoing states the sole and exclusive liability of the parties hereto for infringement of patents, copyrights, mask works, trade secrets trademarks, and other proprietary rights, whether direct or contributory, and is in lieu of all warranties, express, implied or statutory, in regard hereto, including, without limitation, the warranty against infringement specified in the uniform commercial code.

Party B has the right to retain the keys to the premises until Party A returns the deposit.
3. 甲方因乙方違反本合同的規(guī)定而受的損失,可在保證金中扣抵雙方協(xié)議數(shù)目,不足部分乙方必須在接到甲方付款通知后十天內(nèi)補足。Party A may deduct a negotiated amount of security deposit towards Payments of any actual damages Party A shall have incurred or suffered as a result of Party B’s breach of this Agreement. In case the security deposit is not sufficient to cover such amounts, Party B must pay the deficient within 10 days of the receipt of a demand from Party A.
五、甲方的義務(wù)Obligations of Party A:
1. 甲方須按時將出租房屋以良好狀態(tài)交付乙方使用。

2. 租賃期內(nèi)甲方不得無故收回出租房屋。(除非本合同另有規(guī)定)

3. 在乙方遵守本合同的條款及交付租金的前提下,如非中國法律特別規(guī)定,乙方有權(quán)于租賃期內(nèi)拒絕甲方或其他人騷擾而安靜享用出租房屋。
Provided Party B paying the rent and performing and observing Party B’s terms and conditions herein contain shall peaceably hold and enjoy the leased property throughout the term of this Agreement without any interruption by Party A or any other person save and except as required by the law of the People’s Republic of China.
4. 房屋基本設(shè)施和結(jié)構(gòu)(不包括乙方損壞的家私和器具)損壞時,甲方有修繕的責(zé)任并承擔(dān)有關(guān)的費用,并對其作定期修保。
Party A is responsible for repairing and maintaining the basic facilities (excluding furniture and appliances damaged by Party B), the structure of the leased property and for bearing all costs related thereto.
5. 甲方謹(jǐn)在此聲明及保證甲方為出租房屋的'合法擁有人并有合法地位出租此房屋予乙方。就本合同及出租此房屋予以乙方之事,甲方已取得所有有關(guān)機構(gòu)的批準(zhǔn),包括政府批準(zhǔn)及抵押權(quán)人的同意(如適用)。甲方于本合同所做出的聲明及保證,如有錯誤或違反者,甲方須就乙方因此而引致的任何損失、損害、支出及費用做出全部補償。 Party A hereby represents and warrants that Party A is legal owner of the leased property and has the necessary legal capacity to lease the property to Party B. Party A has also obtained all the necessary authorizations from all relevant authorities in the People’s Republic of China in respect of this Agreement and the leasing of the property to Party B, including government approval and/or mortgagee consent (if applicable).
Party A shall be liable to Keep Party B be fully indemnified against any costs, expenses, losses and damages incurred to suffered by Party B as a result of any breach of Party A’s representations of warranties herein(including but not limited to legal costs.
6. 如在租賃期內(nèi),租賃房屋發(fā)生所有權(quán)全部或部分轉(zhuǎn)移、和其他影響乙方權(quán)益的事情時,甲方應(yīng)保證所有權(quán)人或其他影響乙方權(quán)益的第三者,能繼續(xù)遵守本合同所有條款。如乙方于本合同下的權(quán)益受此等所有權(quán)人或第三者所影響或損害,甲方須負(fù)責(zé)補償乙方的所有損失、損害、支出及費用。
If during the term of the tenancy, all or part of the leased property is transferred of Party B’s right to use leased property is affected, Party A shall ensure that such transferee or third party having an effect on Party B’s right to use the leased property will continue to abide by the terms of this Agreement. Party A shall also be liable to keep Party B be fully any of Party B’s interests herein are affected or prejudiced by such transferee or third party.
六、乙方的責(zé)任 Obligations of Party B:
1. 乙方應(yīng)按合同的規(guī)定,按時支付租金,保證金及其它各項應(yīng)付費用如水、電、煤、寬帶等費用。 Party B shall promptly pay all rent, security deposit and other charges such as water, electricity, gas, ADSL, etc payable by it in accordance with the terms of this Agreement.
2. 乙方經(jīng)甲方事先書面同意,可在承租用房內(nèi)進(jìn)行裝修及添置設(shè)備。租賃期滿后恢復(fù)原狀或可正常出租狀態(tài)(正常損耗除外),并承擔(dān)其費用,經(jīng)甲方驗收認(rèn)可后歸還甲方。乙方在租賃結(jié)束交房時應(yīng)保持房屋清潔。
Party B may, with the prior written consent of Party A, renovate and install additional facilities in the leased property. Upon expiry of the tenancy, the leased property shall be returned to Patty A in its original conditions of normal lease conditions(fair wear and tear excepted), and all expenses arising there from shall be borne by Party B. Party B shall keep the premise clean once returning it to Party A.
3. 乙方應(yīng)愛護(hù)使用租賃的房屋,如因乙方的過失或過錯致使房屋及設(shè)施受到損壞(正常損耗除外),乙方應(yīng)負(fù)賠償責(zé)任。 Party B shall treat the leased property with care. If, as a result of party B’s negligence or misconduct, the leased property and the related facilities suffer any damage (fair wear and tear exempt), Party B shall be responsible for compensating Party A for such damages.
4. 乙方應(yīng)按本合同的約定合法使用租賃房屋,不得擅自改變使用性質(zhì),不應(yīng)存放中華人民共和國法律下所禁止的危險的物品,如因此發(fā)生損害,乙方應(yīng)承擔(dān)全部責(zé)任。Party B shall use the leased property legally as agreed in this Agreement and may not change such use on its own. Party B shall not store any dangerous items which are prohibited by the laws in the People’s Republic of China in the leased property and shall be fully responsible for any damages or losses as a result thereof.
5. 未經(jīng)甲方事先書面同意,乙方不得將承租的房屋轉(zhuǎn)租或分租給其他的第三方.
Without Party A’s prior written consent, Party B may not assign the tenancy or sublet the leased property to a third party.
七、違約處理Breach of Agreement:
1. 甲、乙任何一方在未征得對方諒解的情況下,不履行本合同規(guī)定條款,導(dǎo)致本合同中途中止,則視為該方違約,雙方同意違約金為人民幣元整(¥ ),若違約金不足彌補無過錯方之損失,則違約方還需就不足部分支付賠償金。 During the lease term, any party who fails to fulfill any article of this contract without the other party’s (¥party in breach should pay additional compensation to the other party.
2.乙方有下列行為之一的,甲方有權(quán)終止本合同,收回出租房屋,并且保證金不予退還。

a) 將承租的房屋擅自轉(zhuǎn)租

Alters the structure of the leased property without authorization or uses the leased property rather than for the purpose stated herein
c) 無故拖欠租金超過十五天
Fails s to pay rent without any reason for more than 15 days after the due date
八、不可抗力 Force Majeure:
若由于不可抗拒的自然災(zāi)害(包括但不限于火災(zāi)、洪水、地震、施工、敵對、瘟疫等行為等)
獲其他非乙方過錯所造成的對本物業(yè)的損毀致其無法居住或使用本物業(yè),乙方有權(quán)終止本組契約,甲方
必須全數(shù)退還乙方所有保證金和當(dāng)月所余租期之相應(yīng)租金。 If the leased property is destroyed, damaged and rendered uninhabitable of unusable due to force major
(include, but not limited to, fires, flood, earth quakes, accidents, strikes, wars, insurrections, public enemy,pestilence etc).or actions that are not the result of Party B’s fault, Party B shall have the right to terminate this Agreement and prorated balance of all rents and management fees paid, as well as security deposit, shall be returned to Party B without any set-offs or deductions.
九、適用法律Applicable Law:
本合同的成立,其有效性,解釋,簽署和解決與其有關(guān)的一切糾紛均應(yīng)受中國法律的管轄并依據(jù)中國法律解釋。The formation of this Agreement, its validity, interpretation, execution and settlement of any disputes arising hereunder shall be governed by and construed in accordance with the laws of the People’s Republic of China.
十、爭議的解決 Dispute Resolution:
凡因執(zhí)行合同所產(chǎn)生的或與本合同有關(guān)的一切爭議,雙方應(yīng)通過友好協(xié)商解決;協(xié)商不成,應(yīng)提交上海仲裁委員會,按其仲裁規(guī)則和中華人民共和國仲裁法在上海進(jìn)行仲裁, 仲裁裁決是終局的,對雙方都有約束力。In the case of disputes arising over this Agreement or any matters related hereto, the parties shall negotiate in good faith to arbitration by Shanghai Arbitration Commission in Shanghai accordance with its arbitration rules .The decision of the arbitrage body is final and shall be binding on the parties hereto.
十一、其他 Others:
1. 本合同附件是本合同不可分割的組成部分,具有同等法律效力。
The attachment to this Agreement is an inseparable part of this Agreement and is equally enforceable.
2. 本合同如有未盡事宜,由甲、乙雙方洽談解決。
If this Agreement is unclear with respect to certain matters, the two parties shall discuss to resolve such ambiguities.
3. 本合同由中文和英文寫成,以中文版本為準(zhǔn),英文僅供參考。
This Agreement is written both in the Chinese and English languages. Only Chinese versions shall be authentic, English version is for reference.

(16) 質(zhì)量/數(shù)量異議:對于質(zhì)量方面的異議,買方必須在貨物抵達(dá)目的港后30天之類提出:對于數(shù)量方面的異議,買方必須在貨物抵達(dá)目的.港后15天之內(nèi)提出。對由于保險公司、運輸公司、其他運輸機構(gòu)或郵局的原因所造成的貨物差異,賣方不負(fù)任何責(zé)任。 QUALITY/QUANTITY DISCREPANCY: In case of quality discrepancy, claim shall be filed by the Buyer within 30 days after the arrival of the goods at port of destination; while for quantity discrepancy, claim shall be filed by the buyer within 15 days after the arrival of the goods at port of destination. It is understood that the Seller shall not be liable, for any discrepancy of goods shipped due to causes for which the Insurance Company, Shipping Company, other transportation organization or Post Office are liable.
(17) 不可抗力:賣方對由于下列原因而導(dǎo)致不能或暫時不能履行全部或部分合同義務(wù)的,不負(fù)責(zé)任:水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭或其他任何在簽約時賣方不能預(yù)料、無法控制且不能避免和克服的事件。但賣方因盡快地將所發(fā)生的事件通知對方,并應(yīng)在事件發(fā)生后15天內(nèi)將有關(guān)機構(gòu)出具的不可抗力事件的證明寄交對方。如果不可抗力事件之影響超過120天,雙方應(yīng)協(xié)商合同繼續(xù)履行或終止履行的事宜。
FORCE MAJEURE: Seller shall not be responsible for failure or delay in performance of entire or portion of these Sale Contract obligations in consequence of Force Majeure incidents: flood, fire, earthquake, drought, war, or any other matters couldn’t be foreseen or controlled or couldn’t be avoided. But Seller shall inform the incidents to Buyer immediately, and shall delivery the certificate of Force Majeure incidents issued by related organization within 15 days after the incidents happened. If the incidents influence more than 120 days, both parties shall negotiate to decide whether to execute or terminate the Sales Contract.
(18) 仲裁:因履行本合同所發(fā)生的一切爭議,雙方應(yīng)友好協(xié)商解決,如協(xié)商仍不能解決爭議,則應(yīng)將爭議提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(北京),依據(jù)其仲裁規(guī)則仲裁。仲裁裁決是終局的,對雙方都有約束力。仲裁費應(yīng)由敗訴一方承擔(dān),但仲裁委員會另有裁定的除外。在仲裁期間,除仲裁部分之外的其他合同條款應(yīng)繼續(xù)執(zhí)行。
ARBITRATION: All disputes across from the execution of, or in connection with this Sales Contract shall be settled friendly through negotiation, in case no settlement can be reached, the case shall then be submitted to China International Economic and
Trade Arbitration Commission, Beijing for arbitration in accordance with its provisional rules of procedure. The result of arbitration shall be born by the losing party except for the condition the Commission has other judgment. During the arbitration period, clauses beside of the arbitrated parts shall be executed.

十一、適用法律:

十二、爭議的解決:

凡因執(zhí)行本合同所產(chǎn)生的或與本合同有關(guān)的一切爭議,雙方應(yīng)通過友好協(xié)商解決;協(xié)商不成,應(yīng)提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會,按其仲裁規(guī)則和中華人民共和國仲裁法進(jìn)行仲裁。仲裁解決是終局的,對雙方都有約束力。
in the case of disputes arising over this agreement of any matters related hereto ,the parties shall negotiate in good faith to resolve such disputes.if such negotiation fails, the parties shall submit the dispute to arbitration by the china international economic and trade arbitration commission in accordance with its arbitration rules and the arbitration law of the people’s republic of china.the decision of the arbitration body is final and shall be binding on the parties hereto.

七、其他費用:

乙方應(yīng)承擔(dān)租賃期內(nèi)實際使用而產(chǎn)生的水、電、液化氣費、電話費并按單自行如期交納所屬管理公司或有關(guān)機構(gòu)。
during the term of tenancy,party b is reonsible for paying the charges in relation to water, electricity, gas,telephone charges on the basis of the amount of such utilities party b uses. such charges shall be paid when due according to the invoice therefore received by party b from the management company or relevant authority every month.

8. 甲方須按時將出租房屋及其家私家具用品與其設(shè)施以良好狀態(tài)交付乙方使用。

8.2 租賃期內(nèi)甲方不得收回出租房屋(除非本合同另有規(guī)定),甲方保證乙方可不受干擾的享用該物業(yè)。

8.3 在乙方遵守本合同的條款及支付租金的前提下,乙方有權(quán)于租賃期內(nèi)拒絕甲方或其他人騷擾而安靜享用出租房屋。
proviede that party b pays the rent and performs and observes party b’s terms and conditions in accordavce with this agreement, party b shall be entitled to hold and enjoy the leased property throughout the term of this tenancy without any interruption by party a or any other person.
8.4 租賃期內(nèi)出租房屋的結(jié)構(gòu),進(jìn)出物業(yè)的排水、上下管道、電路等處于良好使用狀態(tài)。
party a agrees to repair and maintain the structure,drains, pipes and cables, etc.leading in to or from the leased property at all times in good and tenable repair during the term of this tenancy.
九、乙方的責(zé)任:

9. 乙方應(yīng)按合同的規(guī)定,按時支付租金,保證金及其他各項應(yīng)付費用。
party b shall promptly pay all rent ,security deposit and other charges payable by it in accordance with the terms of this agreement.
9.2 乙方應(yīng)愛護(hù)使用出租房屋,如因乙方的過失或過錯致使房屋設(shè)施及屋內(nèi)用具和飾品受到損壞(正常損耗除外),乙方應(yīng)負(fù)賠償責(zé)任。
paryt b shall treat the leased property with care. if as a result of party b’s negligence or misconduct, the leased property and the related facilities and accessorties suffer any damage(fair wear and tear excepted ),party b shall be reonsible for compensating party a for such damages.
9.3 乙方應(yīng)按本合同的約定合法使用出租房屋,不得擅自改變使用性質(zhì),不應(yīng)存放中華人民共和國法律下所禁止的危險物品,如因此發(fā)生損害,乙方應(yīng)承擔(dān)全部責(zé)任。

9.4 未經(jīng)甲方事先書面同意,乙方不得將出租房屋轉(zhuǎn)租或租給其他的第三者。

十、違約處理:

10. 1 甲、乙任何一方如未按本合同的條款履行,構(gòu)成違約,應(yīng)承擔(dān)相應(yīng)的違約責(zé)任。雙方同意違約方應(yīng)賠償守約方之直接損失人民幣____________元。

10.2 乙方有下列行為之一的,甲方有權(quán)終止本合同,收回出租房屋,并且保證金不予返還;

a.未得甲方書面書面同意,將出租房屋擅自轉(zhuǎn)租;
sublets the leased property without party a’s written consent;
b.未得甲方同意將出租房擅自拆改結(jié)構(gòu)或改變用途的:
alters the structure of the leased property or uses the leased property other than for the purpose started herein without party a’s consent;
c.無故拖欠租金超過三天(除雙方就本合同存在爭議除外)。
fails to pay rent without any reason for more than thirty (30)days after the due date except where there is a diute in reect of this agreement.
十一、適用法律:

本合同的`成立,其有效性、結(jié)實、簽署和解決與其他有關(guān)的一切糾紛均應(yīng)受中國法律的管轄并依據(jù)中國法律解釋。

CLAIMS: In case discrepancy on the quality or quantity of the goods is found by the Buyer, after arrival of the goods at the port of destination, the Buyer may, within 30 days and 15 days respectively after arrival of the goods at the port of destination, lodge with the Seller a claim which should be supported by an Inspection Certificate issued by a public surveyor approved by the Seller. The Seller shall, on the merits of the claim, either make good the loss sustained by the Buyer or reject their claim, it being agreed that the seller shall not be held responsible for any loss or losses due to natural cause failing within the responsibility of Ship owners of the Underwriters. The Seller shall reply to the Buyer within 30 days after receipt of the claim.

LATE DELIVERY AND PENALTY: In case of late deliver, the Buyer shall have the right to cancel this contact, reject the goods and lodge a claim against the Seller. Except for Force Majeure, if late delivery occurs, the Seller must pay a penalty, and the Buyer shall have the right to lodge a claim against the Seller. The rate of penalty is charged at 0.5% for every 7 days, odd days less than 7 days should be counted by the paying bank or the Buyer from the payment.
遲期交貨及刑罰:以防遲到的傳遞,需方有權(quán)取消這個合同,拒絕接受貨物和向賣方提出索賠。除不可抗力,如果遲期交貨時,賣方必須支付違約金,買方有權(quán)向賣方提出索賠。罰金是0.5%,每7天,天數(shù)不到7天應(yīng)安7天算 由銀行付款銀行或由買方的貨款中扣除。
FORCE MAJEURE: The Seller shall not held responsible if they, owing to Force Majeure cause or causes, fail to make delivery within the time stipulated in the Contract or cannot deliver he goods. However, in such a case, the Seller shall inform the Buyer immediately by cable and if it is requested by the Buyer, the Seller shall also deliver to the Buyer by registered letter, a certificate attesting the existence of such a cause or causes.
不可抗力:賣方不負(fù)責(zé),但賣方必須立即以傳真或原因,不可抗力原因,未能交貨時間內(nèi)應(yīng)收的合同或不能救他的貨物。然而,在這種情況下,賣方應(yīng)立即以電報通知買方。如果是按照買主的要求,賣方應(yīng)負(fù)責(zé)向買方把掛號信,證書,證明這樣的原因還是存在的原因。
ARBITRATION: All disputes in connection with this contract or the execution thereof shall be settled amicably by negotiation. In case no settlement can be reached, the case shall then be submitted to the China International Economic Trade Arbitration Commission for settlement by arbitration in arbitration in accordance with the Commission’s arbitration rules. The award rendered by me commission shall be final and binding on both parties. The fees for arbitration shall be borne by the losing
party unless otherwise awarded.

It is hereby agreed between the parties that the LESSEE shall pay the aforesaid monthly rent USD. 3,300/-(US dollars Three Thousand and Three hundred Only) as the monthly rental advance by 20th of each calendar month for which if is due after completion of advance rent period ending on 15th July 20xx.

That the LESSOR hereby acknowledges receipt of the (來自:www.zaidian.cOm 在 點 網(wǎng))sum of Rs.60,000/-(Rupees Sixty Thousand Only) from the LESSEE as FIXED EDPOSIT SECURITY which shall be refunded to the LESSEE on giving back the vacant possession of the DEMISED PREMISES after deduction of damages/shortages outstanding bills for Electricity, Water, Gas and Telephone charges etc, against the DEMISED PREMISES.
THE LESSEE HERBY CONVENANTS WITH LESSOR AS FOLLOWING:
1. To pay to the LESSOR the rent hereby reserved in the manner before mentioned.
2. That the LESSEE shall not at any time during the terms, without the consent in writing of the LESSOR, pull down, damages or make any structure alterations to the DEMISED PREMESES provided always, the LESSEE shall have go write install any fixtures and fittings excluding air-conditioners in the DEMISED PREMESES, to detach and repossess the same s
ubject to the restoration of the DEMISED PREMESES to their original state at his cost (reasonable wear and tear excepted) on the expiry of this lease or any renewal hereof.
3. To use the DEMISES PREMISES for residential purpose and would not be used for a commercial purpose the DEMISES PREMISE would not be used occupied by Mr. **** And family.
4. Not to sublet the whole or any part of the premises.
5. To pay regularly the bills for Electricity, Gas, Water and Telephone charges in respect of the DEMISED PREMISES. A copy of all the paid utility bill be forwarded to the LESSOR every three month regularly. In case of disconnection of any facility due to non-payment, LESSEE will be responsible to get them restored and pay the same. All dues must be cleared before the expiry of the LEASE.
6. The LESSEE shall keep and maintain the said premises in good and tenantable conditions during the tenure of the lease.
THE LESSOR HEREBY CONVENANTS WITH THE LESSEE AS FOLLOWING:-
1. To pay all existing and future rate, taxes assessments and other charges of a public nature whether impose by the Municipality, Government or any other authority in respect of DEMISED PREMISES.
2. Not to erect or set up a building or structure on the DEMISES PREMISES nor to add to any existing building or structure during the period of lease or any renewal without the written consent of the LESSEE.
IT IS HEREBY DECLEAR AND MUTURALLY AGREED BETWEEN THE LESSOR AND LESSEE ANS FOLLWING:=
1. The LESSEE and the LESSOR shall have the right and option to terminate this Lease at any time only after the expiry of the lease period i.e., 24 months, provided they give ONE (1) month notice in advance to either of the parties.
2. The meter reading of various utilities are as given below:-

3. That the LESSEE has also agreed with the LESSOR for a mandatory increase in rent by 10% per annum, the rent would be enhanced to Rs.36,300/-( Rupees Thirty Six Thousand and Three
Hundred Only), should the LESSOR and I ESSEE mutually to renew the Lease. It can be negotiated between the parties.
